Terms of Service

1. Acceptance of Terms

  • By accessing or using the GrowPixels service, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using GrowPixels on behalf of a company, you represent that you have authority to bind that company to these terms.

2. The Service

  • GrowPixels provides a real-time payment fraud detection API and associated dashboard (the 'Service'). We analyse transaction signals you submit and return risk scores and decisions.
  • We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification or discontinuation.

3. Your Account

  • You are responsible for maintaining the confidentiality of your API keys and account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at hi@growpixels.io if you suspect unauthorised use of your account.
  • You must be at least 18 years old and legally capable of entering into contracts to use the Service.

4. Acceptable Use

  • You may not use GrowPixels to process transactions for businesses or industries prohibited by our acceptable use policy, including but not limited to: illegal goods and services, weapons, adult content without prior written approval, or businesses on OFAC sanctions lists.
  • You may not attempt to reverse-engineer, scrape, or extract the underlying models or data from the Service.
  • You may not use the Service in a way that violates any applicable laws or regulations.
  • You may not resell or white-label access to the Service without a separate written agreement.

5. Data & Privacy

  • You retain ownership of all transaction data you submit to GrowPixels.
  • By using the Service, you grant GrowPixels a licence to process your transaction data for the purpose of generating fraud scores and improving detection accuracy within your account.
  • We handle all personal data in accordance with our Privacy Policy and applicable data protection laws.
  • You are responsible for ensuring you have the legal right to submit the data you send us, including any end-customer personal data.

6. Fees & Payment

  • Fees are charged in accordance with the pricing plan you select. All prices are in USD unless stated otherwise.
  • Subscriptions are billed monthly or annually in advance. Usage-based charges are billed at the end of each billing period.
  • All fees are non-refundable except where required by law or as stated in your plan.
  • We reserve the right to change pricing with 30 days' written notice.

7. Uptime & SLA

  • We target 99.9% API availability. Enterprise plans include a contractual SLA.
  • Planned maintenance windows will be communicated at least 48 hours in advance.
  • Service credits for downtime are available on Enterprise plans as detailed in your enterprise agreement.

8. Limitation of Liability

  • GrowPixels provides risk scores and recommendations — final payment decisions remain yours. We are not liable for any fraudulent transactions that occur despite our risk scores, nor for legitimate transactions declined based on our recommendations.
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROWPIXELS'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO GROWPIXELS IN THE THREE MONTHS PRECEDING THE CLAIM.
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Indemnification

  • You agree to indemnify and hold harmless GrowPixels, its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third party rights.

10. Termination

  • Either party may terminate this agreement with 30 days' written notice.
  • We may terminate or suspend your account immediately for breach of these terms, non-payment, or if required by law.
  • Upon termination, your access to the Service will cease. We will retain your data for 90 days after termination, after which it will be deleted.

11. Governing Law

  • These terms are governed by the laws of the State of New York, USA. Any disputes shall be resolved in the courts of New York County, New York.

12. Changes to Terms

  • We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the new terms.
